Preamble

The AAAEA-DFW is a non-profit, non-political, and non-religious professional organization for engineers, architects, and IT professionals of Arab heritage in the Dallas-Fort Worth area, with a mission to promote collaboration, support professional development, and uphold high ethical standards.

Article I – Name, Place, and Objectives

  • Name: Arab American Association of Engineers and Architects of Dallas-Ft. Worth (AAAEA-DFW).
  • Place: Registered in the State of Texas.
  • Objectives:
    • Foster cooperation and mutual assistance among members.
    • Establish scholarships for students pursuing careers in engineering, architecture, and information technology.
    • Promote professional consciousness and community involvement.
    • Ensure adherence to ethical standards and compliance with 501(c)(3) tax-exempt requirements.

Article II – Membership

  • Categories: Regular Members, Associate Members, Honorary Members, Life Members, Corporate Members, Student Members, and Fellow Members.
    • Regular Members: Professionals with relevant degrees who can vote and hold office.
    • Associate Members: Non-voting members with an interest in the association.
    • Honorary and Life Members: Distinguished members with limited voting rights.
    • Corporate Members: Organizations supporting the association’s goals.
    • Student Members: Non-voting students in related fields.
    • Fellow Members: Members recognized for exceptional contributions.
  • Membership Termination: Can result from death, non-payment of dues, resignation, or expulsion for misconduct.

Article III – Dues and Donations

  • Membership Dues:
    • Regular, Associate, and Fellow members pay $50 annually.
    • Corporate membership is $250 annually.
    • Student members pay $10 annually.
    • Honorary and Life members do not pay dues.
  • Funding: The association accepts donations and engages in fundraising, adhering to legal regulations.

Article IV – Management

  • Governance: Managed by the Chapter’s Board of Directors, consisting of elected officers and committee chairpersons, and overseen by the Board of Trustees.
  • Tenure: Directors serve one-year terms, Trustees serve two-year terms.

Article V – Board of Directors

  • The Board includes officers such as the President, Vice-President, Secretary, Treasurer, Scholarship Officer, and Membership Officer.
  • Committees manage key activities: Career Enhancement, Education, Activities, IT & Communication, and Public Relations.
  • Regular monthly meetings are held, with records maintained.

Article VI – Board of Trustees

  • The Board of Trustees serves as an advisory body, ensuring the association's activities conform to the by-laws and providing oversight without direct involvement in day-to-day operations.

Article IX – Scholarships

  • Scholarships are available to student members pursuing degrees in engineering, architecture, or IT.
  • A separate scholarship may also be established for high school students, with awards up to $500.

Article X – Amendments

  • By-laws can be amended or repealed by a two-thirds vote of the Board of Directors, with a 30-day notice provided for proposed changes.
